Dueit Terms of Service

Welcome to Dueit! These Terms of Service
(“Terms”) are a legally binding agreement between you (“you” or
“User”) and Tfozo Inc. (“Tfozo”, “we”,
“our”, or “us”), a corporation incorporated under the federal laws of Canada
with its registered office in Calgary, Alberta.
These Terms govern your access to and use of the
Dueit mobile application, the Dueit.app website, and all related services (collectively, the
“Service”).
1) Eligibility and
Accounts
- Age Requirement: You must be
at least 13 years old to use the Service. If you are under the age of majority in your
jurisdiction (e.g., 18 in Alberta), you represent that you have obtained the consent of your parent or legal
guardian to use the Service.
- Verification: To ensure the
security of our community, you must provide a valid email address and complete the email
verification process before accessing core features.
- Account Accuracy: You agree
to provide accurate, current, and complete information during the registration process and to keep your
account information updated.
- Security: You are solely
responsible for maintaining the confidentiality of your account credentials (including passwords) and for
all activities that occur under your account. You must notify us immediately at support@dueit.app if you suspect any unauthorized access or security
breach.
- Termination Rights: Tfozo
Inc. reserves the right, in its sole discretion, to refuse service, terminate accounts, or reclaim usernames
and handles that violate these Terms or our Community Guidelines.
2) The
Service; Dueits and Content
- Dueits: You can create or
join public or private “dueits” (communities).
- Private Dueits:
Access to private dueits is restricted and may require approval from an administrator.
- Roles: Admins have
the authority to manage membership, assign roles, and moderate memos or dues.
- User-Generated Content (UGC):
You are solely responsible for the memos, dues, habits, images, and links you post. You represent that you
own or have the necessary rights to share this content.
- AI Import Feature: Some
features use AI (Google Vertex AI) to process files you upload (like syllabi or posters) to generate
calendar events.
- Verification: While
we strive for accuracy, AI can make mistakes. You are responsible for verifying all
AI-generated dates and tasks before relying on them.
- Visibility: By posting
content within a “dueit,” you acknowledge that such content is visible to other members of that community
based on the privacy settings of the group.
- Ownership of Tfozo Inc.: As a
federally incorporated entity, Tfozo Inc. owns the Service’s interface, branding, and proprietary code. Your
use of the Service does not grant you ownership of any intellectual property.
3) Acceptable Use and Community Guidelines
To maintain a safe and productive environment for
all students and users, you agree not to:
- Violate Laws or Rights: Use
the Service for any illegal purpose or to infringe on the intellectual property, trademark, or privacy
rights of others.
- Harmful Content: Post or
transmit content that is unlawful, harassing, hateful, defamatory, obscene, sexually explicit, exploitative,
or that promotes violence or self‑harm.
- Doxing: Disclose the
sensitive personal information or private contact details of other users without their explicit consent.
- Harassment & Fraud:
Bully, stalk, or coordinate harassment against any individual; or use the Service to conduct scams, spam, or
fraudulent activity.
- Security Interference:
Attempt to probe, scan, or test the vulnerability of our systems (including Firebase and Cloud
infrastructure) or breach any security or authentication measures.
- System Abuse: Interfere with
or disrupt the Service; use automated bots, scrapers, or scripts to access data or “spam” the API; or
reverse-engineer the app’s code except where allowed by law.
- Tool Misuse: Misuse
reporting, moderation, or feedback tools to target other users unfairly or to provide false information.
- Circumvention: Bypass or
attempt to bypass content controls, regional restrictions, or privacy settings established by Tfozo Inc. or
other users.
Enforcement: Tfozo Inc. reserves
the right to remove content, ban accounts, or restrict access for any user who violates these guidelines, or
where we believe it is necessary to protect the safety of our community or the integrity of the Service.
4) Content
Moderation Policy
Tfozo Inc. is committed to maintaining a safe,
inclusive, and respectful environment for all users. To achieve this, we actively moderate content within the
Service.
A. Zero Tolerance
Content
We have a zero tolerance policy
for the following types of content. Any user or "dueit" found to host, promote, or distribute such content may
be subject to immediate removal without prior warning:
- Hate Speech &
Discrimination: Content that attacks, demeans, or incites violence against individuals or
groups based on race, ethnicity, national origin, religion, sex, gender, gender identity, sexual
orientation, disability, or medical condition.
- Harassment & Bullying:
Targeted, repeated, or severe attacks against individuals, including cyberbullying, threats, intimidation,
or coordinated campaigns of abuse.
- Violence & Threats:
Content that glorifies, incites, or threatens violence against any person or group, including threats of
physical harm, terrorism, or self-harm.
- Exploitation & Abuse:
Content that exploits or endangers minors, promotes human trafficking, or depicts non-consensual sexual
content.
- Dangerous Misinformation:
Content that spreads dangerous misinformation that could cause real-world harm, such as false medical
advice or incitement to dangerous activities.
- Illegal Activities: Content
that promotes, facilitates, or provides instructions for illegal activities, including but not limited to
drug trafficking, weapons manufacturing, or fraud.
B. Reporting and
Review
- User Reports: Any user can
report content, memos, dues, or replies that they believe violate our policies. Reports are reviewed by our
moderation team.
- Moderation Actions: Upon
review, our moderators may take any of the following actions: issue a warning, remove specific content,
temporarily suspend a user, permanently ban a user, or take down an entire "dueit" community.
- Admin Moderation: "Dueit"
administrators also have the authority to moderate content within their communities, including removing
posts and managing membership. Admins are expected to enforce these community standards within their
groups.
C. Community
(Dueit) Takedowns
Tfozo Inc. reserves the right to
suspend, restrict, or permanently remove any "dueit" community that:
- Is created or used primarily to host
prohibited content as described in Section 3 or Section 4(A);
- Has administrators who fail to address or
actively enable policy violations within their community;
- Receives multiple substantiated reports of
policy violations that indicate systemic non-compliance;
- Poses a threat to the safety, security, or
well-being of other users or the broader Dueit community.
No Right to Appeal for Egregious
Violations: In cases involving immediate threats to safety, illegal content, or severe policy
violations, Tfozo Inc. may remove content or communities without prior notice and without an opportunity to
appeal.
D. Our Commitment
We strive to apply our moderation policies
fairly and consistently. We will:
- Review reported content as promptly as
possible;
- Provide notice of moderation actions where
appropriate and where doing so does not compromise safety;
- Continuously update our policies to address
emerging threats and community needs.
5) Licenses and
Ownership
- Your Content (User-Generated
Content): You retain all ownership rights to the content you create and post (e.g., memos,
dues, habits, and profile information). By posting content, you grant Tfozo Inc. a
worldwide, non-exclusive, royalty-free, and sublicensable license to host, store, reproduce, modify (for
formatting and technical purposes), and display your content solely for the purpose of operating and
improving the Service.
- AI Processing License: You
specifically grant us the right to process your uploaded files (such as syllabi, posters, or schedules)
through our AI infrastructure (including Google Vertex AI) to provide the “Import Dues” functionality. This
license is limited to the processing and extraction of data for your use.
- Our Content: Excluding
User-Generated Content, the Service—including its interface, design, branding, and proprietary code—is owned
by Tfozo Inc. or its licensors. We grant you a limited, revocable, non-transferable, and
non-sublicensable license to use the Service for your personal, non-commercial productivity in accordance
with these Terms.
- Feedback: If you provide
feedback, suggestions, or feature requests (e.g., via the dueit.app feedback tool or email), you agree that
Tfozo Inc. may use such feedback for any purpose without restriction, attribution, or
compensation to you.
6) Third-Party
Services
The Service integrates with and relies on
third-party services to function. Your use of Dueit is subject to the terms and privacy policies of these
providers. These services include:
- Google Firebase & Google
Cloud: Used for backend infrastructure, user authentication, database storage (Firestore), push
notifications (FCM), and AI processing via Google Vertex AI.
- Google AdMob: To support the
free version of our app, we display advertisements. Your interaction with these ads is governed by Google’s
policies.
- RevenueCat: Used to manage
subscription status, digital receipts, and access to premium features (e.g., “Grace Membership”).
- PostHog: Used for internal
product analytics to help us understand how users interact with the app’s interface.
No Responsibility for Third
Parties: Tfozo Inc. does not control and is not responsible for the availability, content, or
privacy practices of these third-party services. Any issues arising from their services must be resolved
directly with the respective provider.
7)
Subscriptions and Premium Features
- Grace Membership: We may
offer premium tiers (e.g., “Grace Membership”) that provide access to enhanced features. These are offered
as auto-renewable subscriptions.
- Billing & Platform Rules:
All purchases are processed through the Apple App Store or Google Play Store. By starting a subscription,
you agree to their respective terms and authorize them to charge your stored payment method for the initial
fee and any recurring renewals.
- Free Trials: If a free trial
is offered, you must cancel at least 24 hours before the trial ends to avoid being charged for the next
billing cycle.
- Refund Policy:
- General: To the
maximum extent permitted by law, all charges are non-refundable.
- No Refunds After
Trial: Once a trial period ends and a paid subscription begins, we do not provide
refunds or credits for partially used periods.
- Platform Handling:
Because payments are managed by Apple and Google, Tfozo Inc. cannot directly issue refunds. You must
request any refunds through the Apple or Google support channels according to their specific
policies.
- Taxes: Subscription prices
may or may not include applicable taxes (such as GST/HST in Canada), which will be determined and collected
by the app store platform at the time of purchase.
- Cancellation: You can manage
or cancel your subscription at any time within your device’s subscription settings. You will continue to
have access to premium features until the end of your current billing period.
8) Copyright and Intellectual Property Policy
We respect the intellectual property rights of
others and expect our users to do the same.
- Reporting Infringement: If
you believe that any content on the Service infringes upon a copyright you own or control, please send a
formal notice to support@dueit.app with the following information:
- Identification of the
copyrighted work you claim has been infringed.
- Identification of the
material that is claimed to be infringing and where it is located within the Service (e.g., the
specific “dueit” or community).
- Your contact
information, including your address, telephone number, and email address.
- A statement that you
have a good-faith belief that the use of the material is not authorized by the copyright owner.
- A statement, made
under penalty of perjury (where applicable), that the information in your notice is accurate and
that you are the copyright owner or authorized to act on their behalf.
- Tfozo Inc.’s Response: Upon
receipt of a valid notice, we will investigate and, if appropriate, remove or disable access to the
allegedly infringing content.
- Repeat Infringers: In
accordance with applicable law and our internal policies, we may terminate the accounts of users who are
determined to be “repeat infringers”—those who repeatedly post infringing content despite warnings.
9) Privacy
Your privacy is important to us. Our
Privacy Policy (available at dueit.app/privacy-policy.html)
explains how we collect, use, and protect your personal information, as well as the third-party tools we use to
power the Service (such as Firebase, AdMob, and PostHog).
By accessing or using Dueit, you acknowledge that
you have read our Privacy Policy and agree to our data practices as described therein. If you do not agree with
how we handle your data, you must stop using the Service and delete your account.
10) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS
AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT
PERMITTED BY LAW, TFOZO INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Accuracy: WE DO NOT WARRANT
THAT THE SERVICE, INCLUDING THE AI-GENERATED “IMPORT DUES” FEATURE, WILL BE ACCURATE, COMPLETE, OR
ERROR-FREE. YOU ARE RESPONSIBLE FOR VERIFYING ALL DEADLINES, TASKS, AND CALENDAR EVENTS.
- Availability: WE DO NOT
GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.
- User Content: WE DO NOT
CONTROL, ENDORSE, OR TAKE RESPONSIBILITY FOR ANY USER-GENERATED CONTENT (UGC) POSTED WITHIN “DUEITS” OR
COMMUNITIES.
- Not Professional Advice:
THE SERVICE IS A PRODUCTIVITY TOOL ONLY. TFOZO INC. DOES NOT PROVIDE ACADEMIC, LEGAL, OR PROFESSIONAL
ADVICE. YOUR RELIANCE ON THE SERVICE FOR SCHOOL OR WORK DEADLINES IS AT YOUR OWN RISK.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF
CERTAIN WARRANTIES. IN SUCH CASES, THE ABOVE EXCLUSIONS WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11)
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
LAW, TFOZO INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT
LIMITED TO:
- LOSS OF PROFITS OR REVENUE
(E.G., IF YOU CLAIM THE APP CAUSED YOU TO MISS A SCHOLARSHIP OR JOB OPPORTUNITY).
- LOSS OF DATA (E.G., IF A
FIREBASE ERROR CAUSES YOUR SAVED “DUEITS” TO BE DELETED).
- ACADEMIC CONSEQUENCES
(E.G., IF YOU MISS A DEADLINE OR EXAM DUE TO A SERVICE OUTAGE OR AI ERROR).
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY
OF TFOZO INC. FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF:
- CAD $100.00; OR
- THE TOTAL AMOUNTS PAID BY YOU TO
TFOZO INC. FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT
GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS (INCLUDING CERTAIN CANADIAN
PROVINCES) DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN THESE JURISDICTIONS, OUR LIABILITY
SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12) Indemnity
You agree to defend, indemnify, and hold harmless
Tfozo Inc. and our affiliates, officers, directors, employees, and agents from and against any
third-party claims, liabilities, damages, losses, and expenses (including, without limitation, reasonable legal
and accounting fees) arising out of or in any way connected with:
- Your Content: Your
User-Generated Content (UGC) or any material you upload that infringes on someone else’s intellectual
property or privacy.
- Your Use: Your access to or
use of the Service in a way that violates these Terms.
- Your Violation: Your breach
of any laws, regulations, or the rights of any third party.
In short, if your actions on Dueit result in a
legal claim against us, you agree to cover the costs of our legal defense and any damages we are ordered to pay.
13) Termination
- By You: You are free to
stop using Dueit at any time. You may delete your account and associated data through the in-app settings.
Please note that deleting the app from your device does not automatically cancel a paid subscription; you
must handle cancellations through the App Store or Google Play Store.
- By Tfozo Inc.: We reserve
the right to suspend or terminate your access to the Service at any time, with or without notice, for any
lawful reason. This includes, but is not limited to:
- Breach of Terms:
Violating these Terms or our Community Guidelines.
- Abuse: Excessive or
automated use of AI features that imposes an unreasonable financial or technical burden on our
systems.
- Security: Actions
that pose a security risk to other users or the integrity of the Service.
- Effect of Termination: Upon
termination, your right to use the Service ceases immediately. You will lose access to your “dueits,”
habits, and memos.
- Survival: Sections that by
their nature should survive termination will continue to apply, including Licenses and Ownership (§5),
Disclaimers (§10), Limitation of Liability (§11), Indemnity (§12), and Governing Law (§15).

Changes to the Service and Terms
- Service Evolutions: We are
constantly improving Dueit. We reserve the right to modify, suspend, or discontinue any part of the Service
(including specific AI features or community tools) at any time, with or without notice.
- Updates to Terms: We may
update these Terms from time to time to reflect changes in the law or our Service.
- Notice: When we
make changes, we will update the “Last updated” date at the top of this document.
- Material Changes:
For significant changes that affect your rights or obligations, we will provide more prominent
notice, such as an in-app notification or an email to your registered account.
- Acceptance: Your continued
use of the Service after the revised Terms become effective constitutes your binding acceptance of the new
Terms. If you do not agree to the new Terms, you must stop using the Service and delete your account.
15) Governing
Law and Venue
- Governing Law: These Terms
and any dispute arising from your use of Dueit shall be governed by and construed in accordance with the
laws of the Province of Alberta and the federal laws of Canada applicable
therein, without regard to any “conflict of laws” principles.
- Venue: You and Tfozo Inc.
both agree that any legal action or proceeding arising out of or related to these Terms shall be brought
exclusively in the courts located in Calgary, Alberta.
- International Users: You
waive any right to argue that such a venue is inconvenient, though we acknowledge that some local consumer
protection laws may provide you with rights to bring a claim in your home jurisdiction in specific
circumstances.
16)
Export Controls and Sanctions
- Compliance: You represent
and warrant that you are not located in a country that is subject to a Canadian or U.S. government embargo,
or that has been designated by the Canadian or U.S. government as a “terrorist supporting” country.
- Restrictions: You agree not
to access, download, or use the Service if you are listed on any Canadian or U.S. government list of
prohibited or restricted parties.
- Responsibility: You are
solely responsible for complying with all applicable export control and trade sanctions laws in your
jurisdiction.
17) App Store Terms
If you downloaded Dueit from the Apple App Store
or Google Play Store (each, an “App Provider”), you acknowledge and agree that:
- Primary Agreement: These
Terms are between you and Tfozo Inc. only, and not with the App Provider. Tfozo Inc. is
solely responsible for the Service.
- Maintenance and Support:
Tfozo Inc. is responsible for providing any maintenance and support for the app. The App Provider has no
obligation to furnish any support services for Dueit.
- Warranty: In the event of
any failure of the app to conform to any applicable warranty, you may notify the App Provider for a refund
of the purchase price (if applicable); however, the App Provider will have no other warranty obligation
whatsoever.
- Third-Party Beneficiary:
You acknowledge that the App Provider and its subsidiaries are third-party beneficiaries of these Terms.
Upon your acceptance of these Terms, the App Provider will have the right to enforce these Terms against you
as a third-party beneficiary.
